
CJSC SIBUR Holding sent a non-mandatory offer for the acquisition of 100% of shares of OJSC Plastik, the company informed.
The redemption price offered is 9 Rub. per security. The offer is valid within 70 days after the reception of the mandatory offer.
Today, SIBUR Holding possesses 49.2598% of the authorized capital of Plastik.
CJSC UniCredit Bank has provided a banker guarantee.
OJSC Plastik (Tula region, tax number: 7117000076) makes goods of polymeric materials including polyethylene film and plastic sheets as well as automobile components. The company is part of OJSC SIBUR Holding.
Net loss (RAS) of OJSC Plastik for H1 2011 rose 3-fold to 12.721 million Rub. from 4.206 million Rub. for the same period last year. Revenue increased by 38.6% to 1.624 billion Rub. from 1.172 billion Rub., sales loss increased 20-fold to 33.711 million Rub. from 1.668 million Rub.
Net loss (RAS) of OJSC Plastik for 9 months 2011 was 36.859 million Rub. against a profit of 6.469 million Rub. for the same period last year. Revenue increased by 21.85% to 2.451 billion Rub. from 2.012 billion Rub., sales loss was 34.724 million Rub. against a profit of 17.620 million Rub.
SIBUR Holding (tax number: 7727547261) is the largest Russian manufacturer of petrochemical goods, in particular, rubbers, tires, polymers and liquefied gases. In 2010, SIBUR processed more than 17.4 billion cubic meters of associated gas and produced more than 16.5 million tons of petrochemical goods.
Net profit (RAS) of CJSC SIBUR Holding for 9 months 2011 grew 1.54-fold to 47.678 billion Rub. from 30.928 billion Rub. for the same period in 2010. Revenue increased by 36.29% to 172.328 billion Rub. from 126.438 billion Rub., sales profit by 46.66% to 53.370 billion Rub. from 36.388 billion Rub.
The sole shareholder of SIBUR Holding is SIBUR Ltd. (Cyprus). The beneficiaries of SIBUR Ltd as of October 27, 2011 were: Leonid Michelson (57.5%), Gennady Timchenko (37.5%), and the management of SIBUR Holding (5%).
